By accessing or using Vero's digital receipt platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms apply to all users of the Services, including merchants, card issuers, and consumers.

2. Description of Services

Vero provides a platform for creating, encrypting, and delivering digital receipts based on the Digital Receipt Protocol (DRP). Our Services include:

  • API for merchants to generate digital receipts
  • End-to-end encryption infrastructure
  • Receipt delivery to card issuer systems
  • Integration with point-of-sale systems

3. User Accounts

3.1 Account Registration

Merchants and card issuers must create an account to use our Services. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Consumer Access

Consumers access digital receipts through their card issuer's banking application and do not need to create a separate Vero account.

4. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use the Services to send spam or unsolicited communications
  • Impersonate any person or entity

5. Merchant Obligations

Merchants using our Services agree to:

  • Provide accurate transaction and receipt data
  • Comply with all payment card industry (PCI) standards
  • Obtain necessary customer consent for digital receipts
  • Maintain appropriate data security measures
  • Not misrepresent products or services in receipts

6. Fees and Payment

Certain Services may be subject to fees. You agree to:

  • Pay all applicable fees as described in your service agreement
  • Provide valid payment information
  • Pay all taxes associated with your use of the Services

We reserve the right to change our fees with 30 days' notice.

7. Intellectual Property

7.1 Our Property

The Services, including all content, features, and functionality, are owned by Vero and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of the receipt data you submit. By using our Services, you grant us a limited license to process, encrypt, and deliver this data as necessary to provide the Services.

8. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy. We implement end-to-end encryption to ensure that receipt contents remain private between merchants and consumers.

9. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance
  • Make emergency updates
  • Temporarily suspend Services for technical reasons

We will provide advance notice of scheduled maintenance when possible.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERO SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption
  • Damages exceeding the fees paid to us in the past 12 months

12. Indemnification

You agree to indemnify and hold Vero harmless from any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Services at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Any reason with 30 days' notice

You may terminate your account at any time by contacting us.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vero is incorporated, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Services. Your continued use of the Services after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
